These Terms of Service (“Terms”) govern your access to and use of our website located at zmrsourcing.com and all related corporate services, including our Apparel Sourcing & Wholesale Trading operations and our A2P Telecommunications & CPaaS solutions.
By accessing our website, engaging our sourcing services, or utilizing our telecommunications infrastructure, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our website or services.
1. Services Overview
ZMR Sourcing and Tech operates as a dual-pillar enterprise providing:
- Apparel Sourcing & Trading: Custom garment manufacturing, sample development, quality assurance (QA) inspections, factory compliance auditing, and global supply chain fulfillment.
- Telecommunications & CPaaS Solutions: Application-to-Person (A2P) SMS aggregation, bulk messaging API infrastructure, voice OTP solutions, and SMS switch routing.
2. Apparel Sourcing Commercial Terms
- Purchase Orders & Contracts: All manufacturing and apparel sourcing requests are finalized via formal Purchase Orders (POs), Proforma Invoices, or signed supply contracts detailing quantities, unit pricing, fabric specifications, and delivery schedules.
- Sampling & Approval: Pre-production samples must be formally approved by the client in writing prior to commencing bulk manufacturing.
- Quality Standards & Tolerances: Inspections adhere to standard Acceptable Quality Limit (AQL) standards. Industry-standard variances in dye lots, fabric weights ($\pm 5\%$), and shipping quantities ($\pm 3\%$) are considered acceptable commercial tolerances.
3. Telecommunications & A2P Messaging Terms
- Acceptable Use & Anti-Spam: Clients using our SMS API, switch, or messaging platforms strictly agree not to transmit unsolicited spam, fraudulent content, phishing attempts, or illegal material.
- Regulatory Compliance: Clients are responsible for maintaining valid user consent (opt-in records) and ensuring message content complies with destination country regulations, mobile network rules, and local privacy laws.
- Service Availability: While we maintain redundant network architecture to ensure maximum platform uptime, service availability is subject to downstream mobile network operator (MNO) performance and scheduled technical maintenance.
4. Intellectual Property Rights
All content, logos, source code, designs, and branding assets on zmrsourcing.com are the exclusive property of ZMR Sourcing and Tech. Client custom tech packs, garment designs, proprietary API credentials, and client database logs remain the confidential intellectual property of their respective owners.
5. Limitation of Liability
To the maximum extent permitted by law, ZMR Sourcing and Tech shall not be liable for any indirect, incidental, consequential, or punitive damages—including loss of profits, production delays, or data loss—arising out of or in connection with your use of our services or website.
6. Termination & Service Suspension
We reserve the right to suspend or terminate service access immediately without prior notice if a user or client violates these Terms, engages in fraudulent activities, fails to settle invoices according to agreed commercial payment terms, or misuses our telecom infrastructure.
7. Governing Law
These Terms shall be governed by and construed in accordance with applicable commercial laws. Any legal action or dispute arising under these Terms shall be settled through mutual commercial arbitration or within the jurisdiction of appropriate corporate courts.
